US LBM, a distributor of specialty building materials, reached a definitive agreement to sell three of its operating divisions, Feldman Lumber, Rosen Materials, and Wallboard Supply Co., and their subsidiaries Coastal Roofing Supply, Eastern Wallboard Supply, and Richardson Gypsum to L&W Supply, an operating subsidiary of ABC Supply. ABC is a distributor of exterior building products, and L&W Supply distributes interior building products, used by residential and commercial specialty contractors.

“We look forward to welcoming the associates into the ABC Supply family and are confident our shared commitment to delivering world-class service will benefit all our customers,” says ABC Supply president and CEO Keith Rozolis.

The stock transaction is subject to customer closing conditions and to clearance under the Hart-Scott-Rodino Antitrust Improvements Act. The companies expect the deal to close in the second quarter of 2023.

“The alignment of L&W Supply’s product focus with that of Feldman Lumber, Rosen Materials, and Wallboard Supply will be a great benefit for the customers and associates of these three divisions,” says US LBM president and CEO L.T. Gibson. “Upon completion of this transaction, US LBM will remain well-positioned to continue our growth through product category expansion, strategic acquisitions, and greenfield development, while continuing to provide our customers a full line of specialty building products.”

US LBM acquired Feldman Lumber and Wallboard Supply in 2014 and Rosen Materials in 2015. The three divisions and their subsidiaries operate 42 locations in 12 states, primarily selling and distributing interior building materials, including wallboard, acoustical ceilings, and steel framing.

Beloit, Wisconsin-based ABC Supply operates nearly 900 locations and acquired Chicago-based L&W Supply in 2016.
